Continental Tire Files Federal Charges Against Steelworkers Union Based Upon Bryan Plant Sale

Bryan, OH (June 29, 2005) - Today, Continental Tire North America, Inc. (CTNA) announced that the Company filed an unfair labor practice charge against the United Steel, Paper and Forestry, Rubber, Manufacturing, Energy, Allied Industrial and Service Workers International Union and its Local Union No. 890L (Steelworkers) with the National Labor Relations Board (NLRB), based upon the union's refusal to enter into a labor agreement with Rodos Giants, LLC, the potential purchaser of the Company's Bryan, Ohio off-the-road tire manufacturing plant.

"The Steelworkers have both legal and contractual obligations to negotiate a new labor agreement with the potential purchaser of the Bryan Plant," said Rick Ledsinger, Vice President Human Resources, CTNA, "The union clearly violated these obligations by refusing to recognize its agreement with Rodos and breaking off negotiations."

On January 13, 2005, CTNA entered into a letter of intent with the Rösler Group (Rodos) regarding the potential sale of the company's Bryan, Ohio plant.  The Bryan plant manufactures radial and bias tires for off-the-road use in the construction, logging, mining, forestry and container handling industries and employs over 300 employees.

The January 13 letter of intent specifically provides that the asset purchase is conditioned upon the buyer negotiating an agreement with the union.  Rodos had been in negotiations with the Steelworkers since February 2, 2005, culminating in a June 16, 2005 Memorandum of Understanding signed by both parties.  On June 21, 2005, the Steelworkers abruptly announced that the asset purchase transaction was off because the union could not reach an agreement with Rodos.  The union now denies that the June 16 Memorandum of Understanding was a binding agreement.

In its unfair labor practice charge, CTNA claims that the union violated Sections 8(b)(3) and 8(d) of the National Labor Relations Act by repudiating the June 16 Memorandum of Understanding and refusing to engage in any further discussions with Rodos.  The National Labor Relations Act is a federal law that requires both employers and unions to bargain in good faith and to comply with any agreements reached in collective bargaining.  The Company's unfair labor practice charge also claims that the union violated its December 7, 1999 collective bargaining agreement with Continental Tire by refusing to enter into an agreement with Rodos.

In its charge, CTNA is seeking an order requiring the union to comply with the terms of the June 16 Memorandum of Understanding reached with Rodos and to resume bargaining with both Continental Tire and Rodos regarding the implementation of the asset purchase transaction.
